The iSelect Fund permits accredited, sophisticated investors to create their own individual Delaware Series LLC that owns securities of a variety of start-up and emerging growth companies. The Portfolio Companies participating in the iSelect Fund are raising capital in transactions exempt from the registration requirements of the Securities Act of 1933, as amended. To be included, they must be selected by the iSelect Fund's Vetting Committee, meet the diligence standards established by the iSelect Fund, and comply with all requirements of Rule 506 of Regulation D promulgated under the Securities Act of 1933.

Investors may choose as many portfolio companies as they would like to invest in, subject to a minimum investment of $50,000. Upon receiving an investment, the iSelect Fund will exercise warrants to purchase the securities of portfolio companies chosen by the investor and allocate the portfolio company securities purchased to an Individual Series established by the iSelect Fund for the purpose of holding the investor's purchased securities.

After paying an annual management fee of 2%, the proceeds from any distributions or dividends from portfolio company securities in an individual "sub-fund" will be allocated 100% to the investor in the "sub-fund" until the entire amount of the purchase price is returned. After receiving distributions equal to the initial investment, distributions will thereafter be made 80% to the investor and 20% to the manager of the Fund.

All investors are required to execute a Subscription Agreement and Investor Questionnaire satisfactory to the iSelect Fund and provide adequate information to confirm the investor's status as an "Accredited Investor" as defined in Regulation D and as further required by the United States Securities and Exchange Commission. Sales of interest in the iSelect Fund will be made exclusively to Accredited Investors in compliance with the requirements of Regulation D.
